1. The “Power Up Spa Retreat Contest” (the “Contest”) is sponsored by BeingGirl.ca and Faze Publications Inc.
(the “Sponsors”).

2. The contest begins at 3:00 pm EST on July 15, 2009 and ends on August 17th, 2009 at 11:59 pm EST.

3. The contest is open to all female residents of Canada, who are members of BeingGirl.ca, and who are between the ages of 13 and 19 years of age at the time of entry. Parental consent to participate is required if entrant is under the age of majority in their province or territory of residence. Employees of the Sponsors and their affiliates, advertising and promotional agencies, independent judging organization, or parties engaged in the development, production and distribution of materials related to this contest, and members of their immediate families and/or persons living in the same household are not eligible to
participate.

4. Limit one entry per person/household/e-mail address per week.

5. No purchase necessary. Contest closes August 17th, 2009.

6. PRIZING:
There will be one (1) Prize awarded, consisting of one (1) trip for two (2) to San Diego, California. The Prize is more
specifically described as follows:
• - Return transportation for two (2) to San Diego, California as outlined;
- Two (2) return economy airfare tickets from the major airport closest to the winner’s Canadian residence to San Diego
International Airport.
• - Three (3) nights accommodation
• - Breakfast, lunch and dinner for the winner and guest for the duration of the trip ( Budget $500)
• - Spa services (either massage, facial, manicure or pedicure)
• - Yoga session (one session for no less than 30 minutes)
• - $500 Canadian

Approximate retail value of the Prize is $4,000. Actual prize value depends on location of winner’s residence and flight schedule. No financial compensation will be made or required if actual costs are lower or higher than this amount.

If the winner and her guest are both minors, a complimentary travel package consisting of air travel, accommodation and meals will be made available for a parent or guardian to accompany the winner and her guest. Written permission from the parent/legal guardian of the minor guest allowing that minor to travel with the winner and her parent will be required. Failure to obtain/provide such documentation may result in forfeiture of the prize.

Prize must be accepted as awarded, has no cash equivalent and is not refundable or transferable except in Sponsors’ sole discretion. Sponsor reserves the right to substitute a price of equal or greater value in the event the prize described in unavailable due to circumstances beyond their control.

7. Selection Process:
A random draw by a representative of the Sponsors from all entries received will be made on August 18th, 2009. The selected entrant will be contacted by telephone, email, or courier. In the event the selected entrant cannot be contacted within three (3) days of the first attempt of contact, another selected entrant will be chosen.
The odds of winning will be determined by the number of eligible entries received. To be declared a winner, selected entrants (and/or their parent/legal guardian) must first complete a written declaration confirming compliance with the contest rules and correctly answer a mathematical, skill-testing question. Winner’s guest must also sign and return a declaration confirming compliance. Trip winner’s guest cannot be changed after the declaration is received.

8. No correspondence pertaining to this contest will be entered into except with potential winners. The sponsors accept no liability for printing errors on material distributed for this contest.

9. THE WINNER
a) It is the winner's and her guest's responsibility to provide for any additional expenses not included in the Grand Prize as described herein, including, but not limited to, travel insurance, gratuities, return transportation between the winner's home and the major airport nearest her Canadian residence.
b) The winner and her guest must be in possession of a valid Canadian passport and must be able to enter the United
States and re-enter Canada. Sponsors and prize suppliers are not responsible in the event winner and/or guest are refused entry to destination country or re-entry to Canada for whatever reason and any unused portion of the prize will be forfeit.
c) The winner and her guest must travel together on the same itinerary. Trip must be booked and taken on the dates and times specified by Faze Publications Inc. or its agent, or will be forfeited, in Sponsors’ discretion. No responsibility is assumed by Sponsors for canceled, delayed, suspended or re-scheduled events or travel after ticketing for any reason whatsoever beyond its control. Transportation and accommodations are subject to availability, blackout periods,
government restrictions and regulations, hotel, airline, airport or other transportation restrictions and regulations. Trip must be taken before September 8, 2009. Other restrictions may apply.
d) The winner and her guest will be required to submit daily a written blog and/or video entry for publication on the www.faze.ca site journaling their experience each day of the trip. Submitted work becomes the property of Faze
Publications Inc. and can be used for promotion or publication without any further consent or remuneration.
e) Each potential winner, or her parent or legal guardian, will be required to sign a release form consenting to the use of all or part of blogs, photos and videos for promotion, or publication in Faze Magazine and/or www.faze.ca without any further consent or remuneration.

10. A Declaration of Eligibility and Release of Liability must be executed. Failure on the part of a selected entrant (and/or their parent/legal guardian) to complete, sign and return the affidavit by the deadline as noted on the release form, or return of any prize notification as undeliverable, may result in disqualification of that person, and an alternate winner may be selected from among all remaining eligible entries. Failure to correctly answer the skill testing question will result in disqualification, forfeiture of the prize and the random selection of an alternate winner from among all remaining eligible entries.

11. All entries become the property of Procter & Gamble Inc. and Faze Publications Inc. who assumes no responsibility for lost, delayed, destroyed or misdirected entries, or for technical hardware, software or telephone failures of any kind, lost or unavailable network connection, fraud, incomplete, failed or delayed computer transmissions, whether caused by the sponsor, users or by any of the equipment or programming associated with or utilized in the promotion or by any technical or human error which may occur in the processing of submissions which may damage a user's system or limit a user's ability to participate in the contest. Sponsor reserves the right, in its sole discretion, to cancel or suspend this promotion should a virus, bug, computer problem, unauthorized human intervention or other cause beyond sponsor's control, corrupt the administration, security, fairness or proper play of the contest. In the event of early termination of the contest, a notice will be posted online and a random drawing to award all prizes will be conducted from among all eligible entries received prior to the time of termination. Sponsor reserves the right to modify this contest or disqualify entrant if fraud, misconduct or technical failures destroy the integrity of the contest as determined by the sponsor, in its sole discretion. In the event of a dispute regarding any entry, the entry will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry (i.e. the person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization responsible for assigning e-mail addresses for the domains associated with the submitted e-mail address).

12. By entering this contest, winners agree to be governed by these rules, and consent to the use of their name and address (city only) in a winners' list. Winners further agree to allow the contest sponsors to use their name, address (city only), and photograph, without compensation, for advertising purposes related to this contest.

13. For Québec residents, any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des Alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.

14. This contest is subject to all applicable federal, provincial, municipal and local laws and regulations.

15. A winners list can be obtained by sending, before Sept 25, 2009, a self-addressed, stamped envelope to: POWER UP Spa Retreat, Winner’s List, c/o Faze Publications Inc., Toronto, ON M2N 6S3.
